Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the HVACX website and platform (the "Service") operated by HVACX ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

• Marketplace — the HVACX platform connecting buyers, suppliers, and contractors
• Buyer — a user requesting quotes or purchasing products/services
• Seller — a supplier, distributor, or contractor listing products or providing quotes
• Lead — a project or request for quote (RFQ) submitted by a Buyer
• Quote — a price offer submitted by a Seller in response to a Lead

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into contracts to use the Service. You agree to provide accurate information when registering and to keep your account credentials secure. You are responsible for all activity under your account.

F-Gas Certification

Contractors handling refrigerants must hold a valid F-Gas Company Certificate as required by UK and EU regulations. HVACX may verify certification numbers and reserves the right to suspend accounts that cannot provide valid certification.

3. Marketplace Model

HVACX operates as a lead generation marketplace. We connect Buyers with Sellers but do not:

• Hold inventory or take possession of any products
• Process product payments (unless explicitly stated for specific transactions)
• Guarantee the accuracy of listings, quotes, or seller representations
• Accept liability for the quality, safety, or compliance of products or services

4. Buyer Responsibilities

• Provide accurate project details and specifications when submitting a Lead
• Review quotes carefully and communicate with Sellers through the platform
• Conduct due diligence on Sellers before entering into transactions
• Honour accepted quotes and complete payment directly with the Seller
• Do not submit fraudulent or spam Leads

5. Seller Responsibilities

• Provide accurate product listings with correct specifications, pricing, and availability
• Submit competitive and genuine quotes in response to Leads
• Hold all required certifications and qualifications for the services offered
• Fulfil orders and services to the standard described in the listing
• Do not list prohibited, illegal, or counterfeit items

6. Lead Credits & Payments

Contractors purchase lead credits to unlock Buyer contact details. Credits are non-refundable except where required by law. Credit pricing and pack sizes are displayed at the point of purchase. Auto top-up settings can be managed in your dashboard.

7. Quotes & Transactions

Quotes submitted by Sellers are offers to supply goods or services at the stated price and terms. Acceptance of a quote creates a direct contract between the Buyer and Seller. HVACX is not a party to that contract and accepts no liability for its performance.

8. Prohibited Conduct

You agree not to:

• Post false, misleading, or fraudulent Leads or listings
• Harass, abuse, or threaten other users
• Attempt to bypass the platform to avoid credit charges
• Use the Service for any illegal or unauthorised purpose
• Scrape, copy, or redistribute data from the platform
• Interfere with the proper functioning of the Service

9. Intellectual Property

All content on the HVACX platform — including logos, text, graphics, and software — is owned by HVACX or its licensors and protected by UK intellectual property laws. Product images and specifications remain the property of their respective manufacturers. You may not use HVACX branding without written permission.

10. Listings & Product Data

HVACX aggregates product data from manufacturers and distributors to create a comprehensive marketplace catalogue. While we strive for accuracy, we do not guarantee that product specifications, pricing, or availability are current or error-free. Always confirm details with the Seller before purchasing.

11. Reviews

Buyers may leave reviews for Sellers after a transaction. Reviews must be honest and based on genuine experiences. HVACX reserves the right to remove reviews that are defamatory, false, or abusive. Sellers may respond to reviews but may not offer incentives for positive reviews.

12. Limitation of Liability

HVACX provides the Service on an "as is" and "as available" basis. To the maximum extent permitted by law, HVACX shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the preceding 12 months.

13. Indemnity

You agree to indemnify and hold harmless HVACX from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.

14. Termination

HVACX may suspend or terminate your account at any time for breach of these Terms. You may close your account at any time by contacting us. Upon termination, any unused credits are forfeited.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to These Terms

We may update these Terms from time to time. We will notify users of significant changes via email or platform notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
